INCORPORATION

Receive instructions and information from you; obtain Federal NUANS® name search report and sub request Name Decision Letter from Corporations Canada; prepare Federal Form 1 articles of incorporation and Form 2 Notice of Registered Office and Directors; email documents to you for signature by incorporator; receive signed documents and attend to e-filing with Industry Canada of Form 1 articles of incorporation and Form 2 Notice of Registered Office and Directors; complete and file electronic Form 2 Initial Return under Corporations Information Act (Ontario) to register corporation in Ontario; receive electronic Certificate and articles of incorporation from Industry Canada and email copy to you; and all incidental telephone conversations and correspondence.

ORGANIZATION

Prepare share subscription(s) and organizational resolutions of the board and shareholder(s) to enact general operating by-law and borrowing by-law, set financial year end, issue shares, appoint banker, appoint accountants, set corporate records office; prepare By-law Number 1 and By-law Number 2; prepare specimen + issued share certificates; prepare Consent to Act as Director for each director; complete directors' officers' and share registers; assemble minute book; prepare report to you; and all incidental telephone conversations and correspondence. 

OPTIONAL SERVICES

BUSINESS NAME REGISTRATION: Conduct preliminary (unofficial) search in Ontario against proposed business name; complete Ontario business name registration form; forward to you for approval and signature; attend to filing with Ontario Companies and Personal Property Security Branch; obtain Master Business Licence and report to you thereon.

HST REGISTRATION: Receive instructions from you; arrange for HST registration with Canada Revenue Agency; forward to you Business Number Registration Summary; report to you thereon.
